Organization Charter - P R O P O S E D

To provide a forum for users and developers of Informix based products to exchange ideas, techniques and information on how to better utilize existing products and plan for future product installations.

To provide a forum between Members at Large and Informix Software to share concerns and discuss pertinent product issues.

To provide Informix Software the opportunity to share current sales and technical information on Informix products, as well as the direction of future development with members.

Organization:

The Informix Northern Ohio User Group (INOUG) shall consist of Members at Large, an Executive Committee and up to two Informix Software representatives. The Executive Committee shall be an elected group of individuals from the Members at Large who volunteer their time to organize and manage the activities of the INOUG.

Members at Large shall consist of employee representatives from companies who:

• have purchased Informix products
• are prospective Informix customers
• are Informix business partners
• support Informix software products on a contract basis

The Executive Committee shall consist of a President, Vice President-Membership, Vice President-Programs, Vice President-Communications and Treasurer.

The INOUG shall meet at least quarterly. Dates and frequency will be determined by the Members at Large and communicated to the Executive Committee.

The INOUG shall be financed by it own membership. Membership dues are $25 per individual per year or $100 for a corporate membership consisting of up to 5 individuals per year. The membership fee includes mailings, handouts, miscellaneous supply costs, refreshments and facilities for general meetings. Other expenditures must be approved by a majority vote of the Executive Committee.

The Executive Committee shall consist of no more than 1 employee representative from any company and at least 60% from companies who have purchased Informix software products.

President:

Has overall responsibility for the success of the INOUG.

Vice President-Membership:

Has the responsibility for maintaining the list of members and potential member companies. This list will be treated as confidential property of the INOUG and as such, will NOT be made available to INOUG Members at Large or outside interests not affiliated with the International Informix User Group.

Vice President-Programs:

Has the responsibility for coordinating the logistical aspects of the INOUG meetings. Has the responsibility to act as INOUG President when the elected INOUG President is unavailable.

Vice President-Communications:

Shall be responsible for receiving and redistributing information among Members at Large and Informix Software. Will record election results and other organizational minutes. Is responsible for web site maintenance and newsletter distribution.

Treasurer:

Shall be responsible for recording and managing all membership financial transactions and reporting on the overall financial well-being of the INOUG quarterly.

User Group By-Laws:

No smoking during INOUG meetings.No solicitation or recruiting during INOUG meetings.
